Website Privacy Notice

1. Introduction and Scope

MemryHealth LLC (“MemryHealth,” “we,” “us,” or “our”) provides a Software-as-a-Service post-acute electronic health record platform to healthcare provider organizations. This Website Privacy Notice (“Notice”) describes how MemryHealth collects, uses, discloses, and protects information collected through our public-facing marketing website located at the domain(s) operated by MemryHealth (the “Site”).

This Notice applies to visitors to the Site, including prospective customers, business contacts, job applicants, and other members of the public. By using the Site, you acknowledge the practices described in this Notice.

1.1 What This Notice Does Not Cover

This Notice does not govern:

•     Protected Health Information (“PHI”) or Customer Data processed through our Services. These are governed by our separate Privacy Policy incorporated into the Subscription Agreement, and by the Business Associate Agreement (“BAA”) with each customer. The Site is not intended for the submission of PHI.

•     A patient’s rights with respect to their PHI, which are addressed by the relevant provider organization’s HIPAA Notice of Privacy Practices.

•     Third-party websites that may be linked from the Site but are operated by other parties under their own privacy policies.

Do not submit PHI or sensitive personal information through the Site. Contact and demo-request forms are intended for business-contact information only. If you need to communicate PHI, use the channels established under your organization’s Agreement with MemryHealth.

2. Information We Collect

2.1 Information You Provide to Us

When you interact with the Site — for example, by requesting a demo, contacting sales, subscribing to communications, or applying for a position — we may collect:

•     Name, business email address, telephone number, job title, and organizational affiliation.

•     The contents of your inquiry, message, or demo request, including any information you choose to include.

•     Communication and marketing preferences.

•     Information submitted in connection with a job application, such as a résumé or cover letter.

2.2 Information Collected Automatically

When you visit the Site, we and our service providers automatically collect certain information through cookies and similar technologies, including:

•     Device, browser, operating system, IP address, and approximate location derived from IP.

•     Pages and content viewed, links clicked, referring and exit pages, and dates and times of access.

•     Session identifiers, and analytics and performance metrics.

2.3 Information From Third Parties

We may receive information about you from third-party sources such as marketing and lead-enrichment providers, advertising platforms, and social or professional networks (for example, when you engage with our content on those platforms). We use this information consistent with this Notice and applicable law.

3. Cookies and Similar Technologies

The Site uses cookies, pixels, tags, and similar technologies (collectively, “cookies”) to operate the Site, analyze usage, and support our marketing. The categories of cookies we use are described below.

3.1 Your Choices

Where required by applicable law, we present a cookie banner or preference manager that lets you accept or decline non-essential cookies. You can also control cookies through your browser settings and, for many advertising cookies, through industry opt-out tools such as the Digital Advertising Alliance (aboutads.info/choices) and the Network Advertising Initiative. We honor Global Privacy Control (GPC) signals where required. Declining certain cookies may affect Site functionality.

4. How We Use Information

We use the information described above for the following purposes:

•     Operating, maintaining, securing, and improving the Site.

•     Responding to demo requests, sales and support inquiries, and other communications.

•     Sending marketing communications, newsletters, and event or product information, subject to your preferences and applicable law.

•     Measuring and analyzing the effectiveness of our content, campaigns, and advertising.

•     Evaluating job applications and recruiting.

•     Detecting, preventing, and responding to fraud, abuse, security incidents, and unauthorized activity.

•     Complying with applicable law, regulation, legal process, and governmental requests, and enforcing our terms.

5. How We Share Information

5.1 Service Providers

We share information with third-party service providers who perform functions on our behalf, such as website hosting, analytics, marketing automation, advertising, customer relationship management, and communications. These providers are permitted to use the information only to provide services to us and are bound by contractual confidentiality and security obligations.

5.2 Advertising and Analytics Partners

We share certain online identifiers and usage information with advertising and analytics partners (such as Google and LinkedIn) to measure and deliver relevant advertising and to understand Site usage. Some of these disclosures may be considered “sharing” or a “sale” under certain U.S. state privacy laws; see Section 8.

5.3 Legal and Compliance

We may disclose information when compelled by valid legal process or when we believe disclosure is necessary to comply with law, protect our rights, property, or safety, or that of our customers or the public.

5.4 Corporate Transactions

In the event of a merger, acquisition, financing, reorganization, or sale of assets, information may be transferred to the successor or acquiring entity, subject to confidentiality obligations consistent with this Notice.

5.5 No Sale of PHI

MemryHealth does not sell PHI. Information collected through the Site is business-contact and usage information and does not include PHI.

6. Data Location

MemryHealth is based in the United States, and information collected through the Site is processed and stored in the United States. If you access the Site from outside the United States, you understand that your information may be transferred to, stored, and processed in the United States, where data-protection laws may differ from those in your jurisdiction.

7. Information Security

We implement and maintain administrative, physical, and technical safeguards designed to protect information collected through the Site, including encryption of data in transit, access controls, and monitoring. Notwithstanding these safeguards, no system or transmission over the internet can be guaranteed to be completely secure.

8. Your Privacy Rights

Depending on where you reside, you may have rights under applicable U.S. state privacy laws (including the California Consumer Privacy Act, as amended by the CPRA, and the Washington My Health My Data Act) with respect to information that is not otherwise governed by HIPAA. These may include the rights to:

•     Know, access, and obtain a copy of the personal information we hold about you.

•     Request correction or deletion of your personal information.

•     Opt out of the “sale” or “sharing” of personal information and of targeted advertising.

•     Not be discriminated against for exercising your rights.

To exercise these rights, contact us using the details in Section 11. We will verify your request as required by law before responding, and you may use an authorized agent where permitted. We do not knowingly use the Site to process sensitive personal information for purposes requiring opt-in consent without obtaining that consent where required.

9. Marketing Communications

You may opt out of marketing emails at any time by using the unsubscribe link in the email or by contacting us. Even if you opt out of marketing communications, we may still send you non-promotional messages, such as responses to your inquiries or notices about changes to this Notice.

10. Children’s Privacy

The Site is intended for a business audience and is not directed to children under 13. We do not knowingly collect personal information from children under 13 through the Site. If you believe a child has provided us information through the Site, please contact us so we can delete it.

11. Changes to This Notice

We may update this Notice from time to time. The updated Notice will be posted on the Site with a revised “Effective Date.” For material changes, we will provide additional notice as required by applicable law.
